You would be overpaying by a LOT. Sitting cats don't usually go for overpay like warrior cats do. It would be a fair swap for another late 2010 uncommon.

You were overpaying by offering a 09 rare. It would take 2 2010 rares to equal your rare.

Personally, I wouldn't take it. You rarely see that you overpay for an apple, 'cuz the fruit (except the peach) isn't very good demand. But I think I need another opinion.

I'd say you're overpaying as well, but sometimes Malk pets go for rares due to demand. It depends on how you both value them.
